These Terms of Service ("Terms") govern your access to and use of the services provided by OK Nyla ("we", "us", or "our"), including our web application, SMS messaging, email marketing, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.
1. Service Description
OK Nyla provides a cloud-based platform for contact management (CRM), SMS messaging, email marketing, digital waivers, and related organizational tools. The Service is accessed through our web application and may include communication features such as SMS/MMS messaging and email delivery.
2. SMS Messaging Terms
By opting in to receive SMS messages from OK Nyla or organizations using our platform, you agree to the following:
- Message frequency varies based on your interactions and the organization's communication preferences.
- Message and data rates may apply. Check with your carrier for details.
- Reply STOP to any message to opt out of SMS communications at any time.
- Reply HELP to any message for support information.
- SMS opt-in is not required as a condition of purchasing any goods or services.
- Carriers are not liable for delayed or undelivered messages.
3. User Accounts
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited or unauthorized messages (spam).
- Violate any applicable laws or regulations, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
- Transmit harmful, offensive, or illegal content.
- Interfere with or disrupt the Service or servers.
- Attempt to gain unauthorized access to any part of the Service.

5. Intellectual Property
The Service, including its design, features, and content, is owned by OK Nyla and protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.
6. Payment and Billing
Paid features of the Service are billed on a monthly or annual basis as specified at the time of purchase. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.
7. Limitation of Liability
To the maximum extent permitted by law, OK Nyla shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.
